Terms & Conditions

The terms governing our fixed-price consulting engagements.

1. Introduction

These Terms and Conditions (“Terms”) govern the provision of IT consulting and business consulting services (the “Services”) by Vexora Solutions Limited (“Vexora”, “we”, “us”, “our”) to any client (“you”, “your”, “Client”) who engages us, whether via our website, email, telephone, or in person.

By accepting a proposal, making payment, or otherwise instructing us to commence work, you agree to be bound by these Terms.

2. Our Services

We provide three core service lines to businesses:

Business Consulting — operational improvement, process design, growth planning, and commercial strategy
Strategic Advisory — executive-level guidance, market analysis, competitive positioning, and long-term business roadmaps
Enterprise Partnership — long-term retained advisory combining business consulting and strategic advisory on an ongoing basis

All engagements begin with a written, fixed-price proposal defining the exact scope, deliverables, timeline, and total price. No work commences without a confirmed proposal.

3. Proposals & Pricing

3.1 All proposals are provided following an initial consultation and are valid for 30 days from the date issued, unless otherwise stated.

3.2 Proposals are based on the information provided by the client at the time of scoping. If, during delivery, the scope materially changes, we will notify you promptly and provide a revised proposal before proceeding with any additional work.

3.3 All prices are quoted in the currency stated on the applicable proposal or invoice. Hong Kong does not impose VAT, GST, or any sales tax on our services, so our fees are exclusive of any such tax unless a specific charge is stated on the proposal or invoice.

3.4 Fixed prices on our website reflect indicative starting rates for standard-scope engagements. Every project is individually scoped and confirmed in writing before work begins.

4. Payment Terms

4.1 Vexora does not require deposits. All invoices are raised upon client acceptance of completed deliverables only.

4.2 Payment terms are 14 days from invoice date unless otherwise agreed in writing on the proposal.

4.3 Milestone invoicing may apply to larger or extended engagements, with payments due at agreed stages as defined in the proposal.

4.4 Late Payment: Sums not paid by the due date may attract interest at 8% per annum above the Hong Kong dollar best lending (prime) rate quoted by The Hongkong and Shanghai Banking Corporation Limited from time to time, accruing daily from the due date until payment is received in full.

5. Intellectual Property

5.1 Upon receipt of full payment, all work product, reports, strategies, and documentation created for the client transfers fully to the client.

5.2 Until payment is received in full, all deliverables and materials remain the intellectual property of Vexora Solutions Limited.

5.3 Vexora retains the right to reference the engagement type (not confidential client details) in general descriptions of its experience, unless the client requests otherwise in writing.

6. Confidentiality

Vexora treats all client information as strictly confidential. We do not share, sell, or disclose any client data, business information, or project details with third parties, except where required by law or expressly necessary to deliver the agreed services. This obligation continues after the engagement ends.

7. Refunds & Cancellation

8. Limitation of Liability

8.1 Our total liability for any claim arising from the Services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.

8.2 We are not liable for indirect or consequential loss, including loss of income, business, or opportunity, except where caused by our negligence in circumstances where such loss was reasonably foreseeable.

8.3 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under the laws of Hong Kong.

9. Data Protection

We process personal data in accordance with our Privacy Policy. By engaging our services, you acknowledge that your data will be processed as described therein.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

11. Changes to These Terms

We may update these Terms to reflect changes in our services, legal requirements, or business practices. The version in force at the time you accept a proposal will apply to that engagement.
